1. Agreement to Terms

Welcome to acedataworks.com (the "Website"). These Terms of Use (the "Terms") are a legal agreement between you ("User" or "you") and ACEDATAWORKS LLC ("ACE," "we," "us," or "our"), the owner and operator of the Website and provider of the services described below (the "Services"). By accessing or using the Website or purchasing the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Website or the Services.

2. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will take effect upon posting, and your continued use of the Website or Services after that constitutes acceptance of the updated Terms.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Website or purchase the Services. By using them, you represent that you meet these requirements.

4. The Services

ACE provides data-consulting services, including data-warehouse architecture, data pipelines, automated dataflows, and related AI integration. We currently offer:

(a) Discovery — a free introductory consultation request;

(b) Build — a paid package (consultation plus implementation time); and

(c) Build Pro — a paid package with additional implementation time.

The specific scope, deliverables, and price of each paid package are described at the point of purchase. We may modify, add, or discontinue Services at any time. Larger or custom engagements may be governed by a separate written statement of work, which controls if it conflicts with these Terms.

5. Accounts

Some features require an account. You agree to provide accurate information, keep it current, and keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly at contact@acedataworks.com if you suspect unauthorized use.

6. Fees, Payment & Refunds

(a) Prices for paid Services are shown at checkout in U.S. dollars. By purchasing, you authorize us to charge the payment method you provide for the stated amount.

(b) Payments are processed by Stripe. We do not collect or store your full payment-card details. Your purchase is also subject to Stripe's terms.

(c) You are responsible for any applicable taxes that are not collected by us.

(d) Refunds. Because the Services are personalized and time-based, fees are generally non-refundable once work has begun. If you have not yet scheduled or received any work, you may request a refund within 7 days of purchase by emailing contact@acedataworks.com. If we are unable to deliver a purchased Service, we will provide a full refund for the undelivered portion. This section does not limit any non-waivable rights you may have under applicable consumer-protection law.

7. Acceptable Use

You agree not to:

(a) use the Website or Services for any unlawful purpose or in violation of these Terms;

(b) infringe the rights of, or restrict the use and enjoyment of the Website by, any third party;

(c) attempt to damage, disable, overburden, or impair the Website, or gain unauthorized access to any system or data; or

(d) copy, scrape, or use automated means to access the Website except as expressly permitted.

8. Intellectual Property

(a) The Website and its content — including text, graphics, images, logos, and software — are owned by ACEDATAWORKS LLC or its licensors and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for its intended purpose.

(b) You may not modify, reproduce, distribute, display, or create derivative works from Website content without our prior written permission. Ownership of deliverables created during a paid engagement is addressed in the applicable statement of work or order.

9. Third-Party Services

The Website relies on third-party providers (for example, Stripe for payments and our hosting and email providers). We are not responsible for the acts, omissions, content, or policies of third parties, and your use of their services may be subject to their own terms.

10. Disclaimers

(a) The Website and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

(b) We perform Services with reasonable skill and care but do not guarantee any particular result or outcome. Information on the Website is provided for general purposes and is not a substitute for professional advice tailored to your situation.

11. Limitation of Liability

To the fullest extent permitted by law, in no event will ACEDATAWORKS LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, arising out of or relating to your use of (or inability to use) the Website or Services, or any unauthorized access to your data. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us for the Service giving rise to the claim in the 12 months before the claim arose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ACEDATAWORKS LLC and its owners from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Website or Services or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Website or Services at any time, with or without notice, if you violate these Terms or for any other lawful reason. Provisions that by their nature should survive termination (including sections 8, 10, 11, 12, and 15) will survive.

14. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. Before filing a claim, you agree to first contact us at contact@acedataworks.com and attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with our Privacy Policy and any applicable order or statement of work, are the entire agreement between you and us regarding the Website and Services.
